Software Licence Agreement

LICENCE TO USE SOFTWARE PRODUCT - QUDOS3 IMS SOFTWARE 

 

This is a legal agreement between you (either an individual or a single entity) and Qudos Management Pty. Ltd. to licence the use of software product – Qudos3. The product includes computer software and its associated printed or electronic documentation. By installing or using the product you are agreeing to be bound by the terms of this agreement. If you do not agree to the terms of this agreement, do not use the product.

Granting of licence. You are licenced for a single installation of the application and database, to be accessed by the number of users specified in writing to you by Qudos Management Pty. Ltd.

A separate instance of the application and database may also be installed for training purposes on the same server and accessed by the same users only.

You are licenced to use the software / files for the purpose of developing a compliance and risk management system for a single organisation. You may distribute files derived from the sample or template files included in the Quality, Safety, Enviro, and InfoSec toolkits for the purpose of operating a compliance and risk management system for the single, licenced organisation only. You may make backup copies of the data you have created in the application’s database for the purpose of ensuring continuity of a compliance and risk management system for the single, licenced organisation only.

Beyond the licence arrangements referred to above, no part of the product may be reproduced, stored in a retrieval system, transmitted in any form, or by any means, electronic, mechanical, photocopying, recording, or otherwise without the prior written permission of Qudos Management Pty. Ltd. This agreement does not permit you to distribute the original software or files.

AI training restriction: You shall not, and shall not permit any third party to:

  1. Use the software, documentation, or any portion thereof to develop, train, fine-tune, test, validate, or improve any artificial intelligence, machine learning, large language model, neural network, or similar technology;
  2. Extract, scrape, harvest, copy, or reproduce data, content, outputs, interfaces, workflows, or functionality from the software for use in any AI or machine learning system;
  3. Provide the software or any derived materials to any third party for AI training purposes; or
  4. Use automated means to analyse the software for the purpose of creating competing AI-enabled products or services.

Any such use constitutes a material breach of this agreement.

This licence is not transferable. You may not give, loan, sell, rent or lease the product or licence to others.

Qudos3 software and its associated documentation is, and remains solely the intellectual property and copyright of Qudos Management Pty. Ltd. All rights are reserved and protected worldwide by copyright law and international treaties.

The product does not constitute a completed management system. You acknowledge that you rely on your own skill and judgment in the selection, management and use of the product, and the anticipated results thereof. No guarantee is made for the suitability of the product for use in any particular location, business or application. Professional advice should be sought where necessary.

The supply of this product and the acceptance thereof does not constitute any agreement to provide further products or services.

All rights, trademarks, logos and product names of software, images and documentation used, or referred to are the copyright and intellectual property of their respective owners. Qudos Management Pty. Ltd. does not confer or infer any rights to such property.

WARRANTY

The warranties and rights listed below are without prejudice to those that you may have in law. Qudos Management Pty. Ltd. warranties that Qudos3 will perform substantially in accordance with the information provided about the product on the Qudos web site (qudos-software.com) for a period of 365 days from the date of despatch or commencement of service for cloud hosted installations. Your exclusive remedy under this warranty is for Qudos Management Pty. Ltd. At its discretion to either Return the price paid, or update, repair or replace the software files.

This warranty is void if any failure of the software is due to accident, misuse, incorrect installation, configuration, or application, the operating environment not meeting system requirements, action of another software application, or failure of hardware or communications systems outside of the control of Qudos Management Pty. Ltd. Any replacement software will be warranted for the remainder of the original warranty period.

Limitation of liability: The liability of Qudos Management Pty. Ltd. is limited to the cost of providing you with replacement software, or a repair or update for the original copy of the software provided.

You agree to indemnify, hold harmless, and defend Qudos Management Pty. Ltd., its owners, employees and distributors from, and against any other claims, lawsuits or expenses whatsoever arising from the use or misuse of this product. These limitation of liability provisions extend to any actual or alleged breach of sensitive records. Qudos will notify the affected persons or organisations in the event of an actual data breach
